'Dissolution without Liquidation and Universal Succession in Lieu of Liquidation': This thesis examines the consequences under liability and insolvency law of the departure of the penultimate partner from a partnership. The lack of relevant provisions in partnership law has thus far been compensated for primarily by analogy to the liability regime under inheritance law. However, this approach does not sufficiently take into account the dogmatic principles of liability limitation and separation of assets, nor the considerations of merger and liquidation law.
